This Music Distribution Agreement ("Agreement") is entered into by and between
Whole Story S.A.S ("Distributor") and the Artist/Label ("Content Owner"). By using our distribution services, the Content Owner agrees to the terms and conditions outlined in this Agreement.
● The Content Owner grants the Distributor the non-exclusive right to distribute their music to various platforms, including but not limited to streaming services,
online stores, and other digital music retailers.
● The Distributor has the right to promote and market the content as necessary for distribution.
● The Content Owner shall receive a percentage of net revenues generated from the distribution of their music, as discussed and mutually agreed upon between the parties, after deducting any applicable fees.
● Payments shall be made on a monthly basis through a method as discussed between the parties.
● The Distributor reserves the right to withhold payments if fraudulent or unauthorized activities are suspected.
● The Content Owner retains full ownership of their music and intellectual property rights.
● The Content Owner is responsible for ensuring they have all necessary rights, licenses, and permissions to distribute the content.
● The Content Owner must not upload infringing, unlawful, or prohibited content.
● First Strike: A warning will be issued for a violation of this Agreement (e.g., copyright infringement, fraudulent streams, or other misconduct).
● Second Strike: The Content Owner’s account may be temporarily suspended, and revenue may be withheld pending further review.
● Third Strike: The Content Owner’s account will be terminated, and all distributed content may be removed from platforms.
● The Distributor reserves the right to take immediate action for severe violations.
● The Distributor may terminate the Agreement immediately if the Content Owner violates any material terms.
● Upon termination, all content may be removed from distribution platforms.
● The Content Owner agrees to indemnify and hold harmless the Distributor against any claims, losses, or damages arising from the distribution of their content.
● The Distributor reserves the right to modify this Agreement. Continued use of the distribution services constitutes acceptance of any changes.
● This Agreement shall be governed by the laws of Uruguay.
